Terms of Service and Licence
These terms are between you and Curious Expeditions LLC, a Wyoming limited liability company, 32 N Gould St, Sheridan, WY 82801, USA ("we", "us"). They cover OpenIntern:
- Part A covers the OpenIntern software, including the add-in and the local software you can run on your own computer (the "Software").
- Part B covers the hosted OpenIntern service at https://app.openintern.ai, which runs the add-in you get from Microsoft AppSource (the "Service").
By installing the Software or using the Service you agree to the parts that apply to you and to the Acceptable Use Policy, and you acknowledge the Privacy Policy. If you use OpenIntern for an organisation, you confirm you are allowed to accept these terms for it.
Part A: Software licence
- Open-source licence. The Software is open source under the Apache License, Version 2.0 (the "Apache Licence"), available at https://www.apache.org/licenses/LICENSE-2.0 and in the
LICENSEfile distributed with the source code. Your use, copying, changing and distribution of the Software are governed by the Apache Licence. Nothing in these terms limits the rights it gives you, and if these terms conflict with it for the Software, the Apache Licence wins. - Third-party components. The Software includes open-source components from others. They are listed, with their licences, in the notices distributed with the source code.
- Our names and logos. The Apache Licence does not give you rights to our names or logos. "OpenIntern" and the OpenIntern logo are trademarks of Curious Expeditions LLC. If you distribute a changed version, give it a different name.
- No warranty and limited liability. As the Apache Licence states (sections 7 and 8), the Software is provided "AS IS", without warranties or conditions of any kind, and contributors are not liable for damages arising from its use, except where the law requires otherwise.
Part B: Hosted Service
These terms apply only when you use the Service. The local software does not use it.
- What the Service does. The Service runs OpenIntern's task pane and agent for the add-in. It reads the parts of your open document a task needs, sends them with your request to the AI provider you choose using the API key you supply, and makes the resulting changes in your document. It does not store your API key. The Privacy Policy describes exactly what data goes where.
- Your provider account and charges. OpenIntern is bring-your-own-key. You need your own account and API key with a supported AI provider, such as OpenAI or Anthropic. Your provider bills you directly for the usage your tasks consume, under its own terms. We do not charge for the add-in or the Service. We are not responsible for provider charges, rate limits, outages, model changes or the provider's handling of your data. Keep your key secret; you are responsible for usage made with it. Cost estimates shown in the pane may differ from your provider's bill.
- AI output can be wrong. OpenIntern's output is generated by AI models and may be inaccurate, incomplete or inappropriate. The agent changes your documents. It records its changes so you can review them and undo a task, but undo restores what the task changed rather than restoring the file byte for byte, does not overwrite later edits by you or co-authors, and cannot reverse every kind of change. Review all output and changes before you rely on them or share them, especially financial figures and formulas. OpenIntern does not give financial, legal, tax, investment or other professional advice. Forecast assumptions the agent proposes are illustrative and are not statements by any company. Keep your own backups of files that matter.
- Your content. You keep all rights to your documents, prompts and outputs. You give us only the permission needed to process your content and send it to your chosen provider in order to carry out your requests. You are responsible for having the right to send your content to that provider, for example under your employer's policies.
- Acceptable use. Follow the Acceptable Use Policy and your provider's usage policies. We may limit or suspend access to the Service for violations, abuse, security threats or legal requirements.
- Free, as available, and subject to change. The Service is free and provided on an "as available" basis. Sessions end after 30 minutes without activity and when the Service restarts or is updated, which stops any task running at that moment. We may change, limit or discontinue the Service, with reasonable notice where practical. The Software stays available under the Apache Licence.
- Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY OF OUTPUT.
- Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA OR PROVIDER CHARGES, ARISING FROM THE SERVICE, AND OUR TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICE IS LIMITED TO US$100.
- Indemnity. You will defend and indemnify us against third-party claims arising from your content or from your breach of these terms or the Acceptable Use Policy.
- Ending use. You may stop using the Service at any time by removing the add-in. Sections B3, B4 and B7 to B12 continue to apply after you stop.
- Governing law and courts. These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The state or federal courts located in Sheridan County, Wyoming have exclusive jurisdiction over any dispute about these terms or OpenIntern, and you and we consent to their jurisdiction. If you are a consumer in the EU or the UK, you keep the protection of the mandatory laws of the country where you live and may also bring proceedings there.
- General. These terms, the Acceptable Use Policy and the Privacy Policy are the whole agreement between you and us about OpenIntern. If a provision cannot be enforced, the rest still applies. Not enforcing a provision is not a waiver. We may update these terms by posting a new version here with a new effective date; material changes take effect 30 days after we announce them on https://openintern.ai.
Microsoft
Microsoft is not a party to these terms and is not responsible for the Software or the Service. Microsoft, Excel, PowerPoint and Word are trademarks of the Microsoft group of companies. OpenIntern is independent and is not affiliated with or endorsed by Microsoft, OpenAI or Anthropic.
